Vendor-User Agreement
Terms and conditions for vendors on Eventso
This Vendor-User Agreement ("Agreement") governs the use of the Eventso platform ("Platform") by Vendors ("Seller", "Service Provider").
1. Scope
Eventso provides an online platform on which Vendors may list and sell products or services related to events. All Vendor use of the Platform is subject to this Agreement and to all other legal agreements and policies published on the Platform, which are incorporated by reference.
2. Vendor Obligations
- Vendors must comply with all rules and policies published on the Platform, including the Product Listing Policy and the Payments, Refunds & Cancellations Policy.
- All communications with Buyers sourced through the Platform must be conducted within the Platform's messaging system. Off-platform or side negotiations with Buyers sourced from the Platform constitute a material breach and may result in immediate suspension or termination of the Vendor's account and withholding of payouts.
- Vendor access to the Platform is subject to payment of a subscription fee (monthly or quarterly) and successful completion of Vendor screening. In case of delayed subscription payment, Eventso may suspend all Vendor listings until payment is made, or deduct unpaid fees directly from amounts payable to the Vendor.
3. Prohibited Items
Vendors may not post or sell any product or service prohibited by applicable law. Examples include (but are not limited to):
- Counterfeit goods
- Drugs, narcotics and related goods
- Human trafficking or trade in body parts
- Pornographic materials
Vendors are responsible for ensuring that their listings comply with all laws and regulations in each relevant jurisdiction.
4. Vendor Representations
Vendors represent and warrant that they have the expertise, knowledge, licences and resources necessary to provide the goods and services listed. Vendors further represent that all listings are accurate and lawful.
5. Liability and Indemnification
The Vendor is solely responsible for the goods and services provided to Buyers and for compliance with all applicable laws. The Vendor shall indemnify and hold harmless Eventso, its officers and employees from any claims, losses, damages, costs or expenses (including reasonable legal fees) arising from:
- The Vendor's negligence, breach of this Agreement, or violation of law;
- Claims by Buyers or third parties relating to the Vendor's products or services.
Eventso is not liable for any indirect, incidental or consequential losses incurred by the Vendor in connection with the Platform.
6. Insurance
Vendors offering services involving food preparation, transport of persons, security or crowd control, pyrotechnics, or any other activity that presents a heightened risk of injury or property damage ("High-Risk Services") must maintain appropriate insurance and licences as required by law and provide proof on request.
Eventso may, at its discretion, restrict listings or withhold advance payouts for Vendors who do not provide proof of insurance for High-Risk Services. Vendors providing Low-Risk Services may self-certify compliance but remain solely responsible for any losses arising from their activities.
7. Independent Status
Use of the Platform does not create an employer/employee, agency, or partnership relationship between Eventso and the Vendor, or between Buyers and Vendors.
8. Termination and Suspension
Eventso may suspend or terminate a Vendor's account, remove listings, or withhold payouts immediately in case of:
- Breach of this Agreement or other Platform policies;
- Fraud, illegal activity or repeated customer complaints;
- Failure to deliver goods or services as advertised.
9. Governing Law
This Agreement is governed by and construed in accordance with the laws of the Republic of Estonia and mandatory EU consumer-protection laws.
10. Updates to this Agreement
Eventso may update this Agreement from time to time. Vendors will be notified of material changes and continued use of the Platform constitutes acceptance of the updated terms.
11. Entire Agreement
This Agreement, together with all policies incorporated by reference, constitutes the entire agreement between Eventso and the Vendor and supersedes all prior agreements.
12. Legal Costs
In any legal action between Eventso and the Vendor, the prevailing party may recover reasonable legal costs and attorney fees to the extent permitted by law.
13. Acceptance
By registering as a Vendor and using the Platform, the Vendor confirms having read, understood and agreed to this Agreement and all incorporated policies.
14. Data Protection
Eventso processes Vendor personal data in accordance with its Privacy Policy and the EU General Data Protection Regulation (GDPR). Vendors may exercise their data-subject rights as described in the Privacy Policy.
Agreement
By using the Platform, the Vendor expressly acknowledges having read and understood the terms of doing business on the Platform and agrees to abide by the terms at all times.
It is the Vendor's responsibility to familiarize themselves with the other legal agreements listed on the Platform as they are equally binding.
